Legal & Transparency

These Terms and Conditions ("Agreement") constitute a legally binding contract between AXAMP Private Limited ("AXAMP," "we," "us," or "our") and the individual, business, or entity ("Client," "you," or "your") engaging our services.

Throughout this Agreement:

• "Services" refers to all digital marketing, branding, creative, technical, and consulting services provided by AXAMP.
• "Deliverables" refers to any content, designs, code, campaigns, or materials created by AXAMP for the Client.
• "Project" refers to a specific scope of work agreed upon between AXAMP and the Client.
• "Proposal" refers to any written or verbal quote, scope document, or statement of work issued by AXAMP.
• "Confidential Information" includes all non-public business, technical, or financial data shared between the parties.

If you are entering this Agreement on behalf of an organisation, you represent that you have the authority to bind that organisation to these terms.

AXAMP provides the following professional services. The specific scope for each Client engagement is defined in the relevant Proposal or Contract:

• Social Media Management: Strategic content planning, scheduling, posting, audience engagement, and brand positioning across social platforms.
• Viral Content Creation: Reels, scripts, hooks, trend-based content, and storytelling formats optimised for maximum reach and engagement.
• Performance Marketing: ROI-focused advertising campaigns across Meta, Google, and other platforms to generate leads, sales, and business growth.
• Website Development: Design and development of modern, responsive, conversion-focused websites.
• Branding & Creative Design: Logo design, brand identity, packaging creatives, menus, posters, banners, ad creatives, and premium visual branding solutions.
• Video Editing & Creative Production: High-retention editing for Instagram Reels, YouTube Shorts, promotional ads, and founder-led content.
• AI Automation & Marketing Systems: Integration of AI tools and automation workflows to improve customer engagement, lead management, and business efficiency.

All engagements begin with a formal Proposal or Statement of Work ("SOW") that defines the scope, timeline, pricing, and deliverables. An engagement is considered accepted upon any of the following:

• Written confirmation (email, messaging platform, or signed document)
• Payment of a deposit or retainer
• Provision of access credentials, brand assets, or project materials

• Retainer Clients: Monthly retainer fees are due in advance, on the 1st of each calendar month. Work begins only upon receipt of payment.
• Project-Based Work: A minimum deposit of 50% is required before work begins. The remaining balance is due upon project completion.
• Ad Spend: For performance marketing campaigns, ad spend budgets are separate from AXAMP's management fees.
• Late Payments: Invoices unpaid after 7 days of the due date may incur a late fee of 2% per month.

A successful engagement requires active collaboration. The Client agrees to:

• Provide timely access to brand assets, platform credentials, and product information.
• Designate a primary point of contact authorised to approve deliverables.
• Review and provide feedback on deliverables within agreed timelines.

Client-Owned IP: Upon receipt of full payment, AXAMP assigns to the Client ownership of final, approved deliverables specifically created for that Project.

AXAMP-Retained IP: AXAMP retains ownership of all preliminary concepts, proprietary methodologies, and AI automation workflows.

Both parties agree to maintain the confidentiality of any proprietary, sensitive, or non-public information shared during the engagement.

AXAMP will make all reasonable efforts to deliver services within agreed timelines. However, timelines are estimates and may be affected by delays in Client feedback.

AXAMP's total liability to the Client shall not exceed the total fees paid by the Client to AXAMP in the three (3) months preceding the claim.

Either party may terminate a retainer engagement with 30 days' written notice.

Disputes will first be attempted to be resolved through good-faith negotiation, then mediation, before pursuing any legal action.

AXAMP reserves the right to update or modify these Terms and Conditions at any time with 14 days' notice.

This Agreement shall be governed by and construed in accordance with the laws of India.
